BetGames Casino Designer
Terms of Service

1. Definitions
Unless otherwise defined in the Agreement, the following terms apply:

• “Applicable Laws” means all laws, regulations, regulatory requirements, and codes applicable to the Customer’s use of the Casino Designer and the Products.
• “Back Office Tools” means the suite of support tools within the Solution and for BetGames' Products, enabling the Customer to manage reporting and account administration.
• “BetGames” means UAB “TV Žaidimai”, company registration code 302708264, registered in Lithuania.
• “Casino Designer” means a configuration tool made available by BetGames via the Back Office Tools, enabling the Customer to customise certain visual elements of BetGames Products, subject to technical limitations.
• “Customer” means the contracting entity that has entered into a Agreement with BetGames.
• “Customer Content” means any content uploaded, selected, generated, configured, or used by the Customer through the Casino Designer, including any AI-generated content.
• “Agreement” means the service package agreement entered into between BetGames and the Customer governing their commercial relationship.
• “Product(s)” means BetGames gaming products made available to the Customer under the Agreement.
• “Unique Stream” means each separately integrated and configured instance of a Product to which Casino Designer is applied within BetGames’ Back Office Tools, which may be deployed across multiple Customer domains and display the same player-facing background across all such domains using that Unique Stream.
• “Solution” means BetGames' proprietary hardware and software infrastructure, through which the Customer (and/or its Affiliates) can make use of the following: (a) access to Products for end user offerings, (b) access to Back Office Tools, and (c) any additional services that BetGames, at its sole discretion, may periodically provide.

2. Scope and Relationship to the Agreement
2.1 These Terms of Service govern the Customer’s access to and use of the Casino Designer and supplement the Agreement.
2.2 These Terms of Service do not replace or amend the Agreement unless expressly stated.
2.3 In the event of any conflict between these Terms of Service and the Agreement, the Agreement shall prevail.

3. Access and Permitted Use
3.1 Subject to the Agreement, BetGames grants the Customer a non-exclusive, non-transferable, revocable right to access and use the Casino Designer solely in connection with BetGames Products.
3.2 The Customer shall:
• use the Casino Designer only for lawful purposes;
• comply with all Applicable Laws;
• not misuse, interfere with, reverse engineer, or attempt to circumvent technical limitations of the Casino Designer.
3.3 BetGames does not warrant uninterrupted or error-free availability of the Casino Designer.

4. Customer Content
4.1 The Customer is solely responsible for all Customer Content.
4.2 The Customer warrants that:
• it holds all necessary rights, licences, and permissions to use the Customer Content;
• the Customer Content does not infringe third-party rights;
• the Customer Content complies with Applicable Laws.
4.3 BetGames:
• does not monitor or moderate Customer Content;
• makes no representations as to the legality, suitability, or regulatory compliance of Customer Content;
• does not approve, endorse, or validate any Customer Content.
4.4 The availability of Customer Content through the Casino Designer shall not be construed as approval or endorsement by BetGames.

5. Content Control and Compliance Safeguards
5.1 BetGames reserves the right, at its sole discretion and without liability, to remove, disable, or require modification of Customer Content, or to suspend or restrict access to the Casino Designer, where reasonably required for:
• technical or security reasons;
• operational or maintenance needs;
• compliance with Applicable Laws or regulatory requirements;
• business continuity; or
• prevention of misuse.

6. Modifications to the Casino Designer
6.1 BetGames may modify, enhance, suspend, or discontinue the Casino Designer or any of its functionality where reasonably required for legitimate operational, technical, security, or regulatory reasons.
6.2 BetGames shall not be liable for any impact such changes may have on Customer Content or configurations.

7. Fees
7.1 Fees, billing structure, and payment terms are governed exclusively by the Agreement and any applicable commercial arrangements entered into under it.

8. Termination and Post-Termination Effects
8.1 Upon termination or suspension of the Customer’s access to the Casino Designer for any reason:
• BetGames shall have no obligation to maintain, restore, or provide access to Customer Content; and
• BetGames may retain or permanently delete Customer Content in accordance with its data retention policies and Applicable Laws.

9. Indemnity
9.1 The Customer shall indemnify and hold harmless BetGames from and against all claims, losses, damages, liabilities, costs, and expenses arising out of or in connection with:
• the Customer’s use of the Casino Designer;
• any Customer Content; or
• any breach of these Terms of Service or Applicable Laws.

10. Liability
10.1 To the maximum extent permitted by Applicable Laws, BetGames shall not be liable for:
• indirect, incidental, or consequential damages;
• regulatory or enforcement actions taken against the Customer;
• loss of data, revenue, or business opportunities resulting from Customer Content or use of the Casino Designer.
10.2 Nothing in these Terms of Service limits liability that cannot be limited under Applicable Laws or the Agreement.

11. Amendments
11.1 BetGames may update these Terms of Service from time to time at its sole discretion.
11.2 BetGames shall notify the Customer of any material updates to these Terms of Service by reasonable means, including publication on BetGames’ website or written notice.
11.3 Updated Terms of Service shall become effective on the date specified by BetGames and shall apply to the Customer’s continued access to and use of the Casino Designer from that date onward.
11.4 For the avoidance of doubt, updates to these Terms of Service shall not constitute an amendment of the Agreement and shall not require the Customer’s consent.

12. Governing Law and Jurisdiction
12.1 These Terms of Service shall be governed by the laws specified in the Agreement.
12.2 Jurisdiction shall be as set out in the Agreement.
